Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Bemind Technology ("Company," "we," "us," or "our") concerning your access to and use of our website, products, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

Bemind Technology provides software consultancy and custom development services, including but not limited to:

User Obligations

When using our Services, you agree to:

Intellectual Property Rights

Our Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, images, software, and designs, are owned by Bemind Technology or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal or internal business purposes, subject to these Terms.

Client Work Product

For custom development projects, intellectual property rights in the final deliverables will be addressed in separate project agreements. Unless otherwise specified, all custom work products developed specifically for you will be owned by you upon full payment.

Professional Services

When you engage us for professional services:

• Services will be performed in accordance with industry standards
• Specific project terms will be outlined in separate agreements or statements of work
• Timelines and deliverables will be mutually agreed upon
• Payment terms will be specified in project agreements
• Changes to scope may result in additional fees

Payment and Fees

If you purchase services from us:

• You agree to pay all fees as specified in your service agreement
• Prices are subject to change with notice
• Payment terms will be outlined in project proposals
• Late payments may incur interest charges
• We reserve the right to suspend services for non-payment

Confidentiality

We understand that in the course of providing services, we may have access to confidential information:

• We will maintain the confidentiality of your proprietary information
• We will use confidential information only for providing services
• Specific confidentiality terms may be outlined in separate NDAs
• We implement reasonable security measures to protect your information

Warranties and Disclaimers

Limited Warranty

We warrant that our services will be performed with reasonable care and skill in accordance with industry standards. Specific warranties for deliverables will be outlined in project agreements.

Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS OR A PROJECT AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Uninterrupted or error-free operation

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability shall not exceed the fees paid by you for the specific service giving rise to the claim
• We shall not be liable for indirect, incidental, special, consequential, or punitive damages
• We shall not be liable for loss of profits, revenue, data, or business opportunities
• These limitations apply regardless of the legal theory of liability

Indemnification

You agree to indemnify, defend, and hold harmless Bemind Technology and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of our Services or violation of these Terms.

Termination

We may terminate or suspend your access to our Services:

• For violation of these Terms
• For non-payment of fees
• For any reason with reasonable notice
• Immediately for serious violations or illegal activity

Upon termination, your right to use the Services will cease immediately. Provisions that by their nature should survive termination will remain in effect.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Thailand, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or our Services shall be resolved through good faith negotiations. If negotiations fail, disputes shall be subject to the exclusive jurisdiction of the courts of Nonthaburi, Thailand.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our website and updating the "Last updated" date. Your continued use of our Services after such changes constitutes acceptance of the modified Terms.

General Provisions

Entire Agreement

These Terms, together with any project agreements and our Privacy Policy, constitute the entire agreement between you and Bemind Technology regarding the Services.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
